Giavaneers J2CL End User License Agreement

Approved by Giavaneers, Inc. for Marketplace submission on September 30, 2026. This approval does not establish that the agreement has been published or accepted by any user, and it does not retroactively change the terms of an existing installation.

1. Parties and scope

This agreement is between you and Giavaneers, Inc. ("Giavaneers"). It covers the Giavaneers J2CL plugin, plugin ID com.giavaneers.intellijplugin.GiavaneersJ2CLPlugin, the Giavaneers-owned portions of the bundled ReactJava and Cloudworks Web API libraries, and accompanying Giavaneers documentation supplied with this plugin distribution (together, the "Plugin"). The ReactJava and Cloudworks Web API coverage applies to the copies bundled with this Plugin, not to separately obtained versions of those projects. It does not replace rights already granted under any separate license, and third-party components within those libraries remain governed by their own licenses as described in Section 4.

When an approved version of this agreement is presented to you, installing or using the Plugin constitutes acceptance of that version. If you do not agree, do not install or use it. If accepting for an organization, you must have authority to bind it, and "you" refers to that organization.

Giavaneers is the licensor. JetBrains is not a party to this agreement and does not undertake Giavaneers' obligations. Your use of JetBrains products and Marketplace remains subject to your separate agreements with JetBrains.

2. Free license

Subject to this agreement, Giavaneers permits you to install and run the Plugin worldwide, without a license fee, for personal, educational, nonprofit, or commercial development. This permission is nonexclusive and may not be transferred or sublicensed. You may make reasonable backup copies and install copies for your own use or your organization's authorized personnel. You are responsible for their compliance when they use your organization's copies.

The license for a version supplied free under this agreement does not expire merely because the beta ends or a future version becomes paid. It continues unless terminated under Section 9. No future fee applies retroactively to that version. Future releases may be offered under separate terms, which do not replace the terms for an earlier version without your agreement.

This license does not include licenses for an IDE, external services, or other separately licensed products. Their providers may impose their own requirements and charges.

3. Ownership and restrictions

The Plugin is licensed, not sold. Giavaneers and its licensors retain their rights in it. No right to Plugin source code or Giavaneers trademarks is granted. Except as Section 4 or applicable law permits, you may not:

• distribute, sell, rent, sublicense, or publicly host copies of the Plugin, except for the internal installations and backups allowed above;
• modify or create derivative works of the Plugin, or reverse engineer, decompile, or disassemble it; or
• remove ownership or license notices, or bypass applicable license controls.

These restrictions apply to the Plugin, not to software you independently create with it. Giavaneers claims no ownership of your source code, applications, or other original work merely because you use the Plugin. You may use and distribute your own applications commercially or otherwise. Any third-party code, runtime, or other material included in an application remains subject to its own applicable license; this agreement does not grant additional redistribution rights for that material.

4. Third-party components

The Plugin includes or works with third-party software, including open-source components. Their licenses and required notices govern those components. If this agreement conflicts with a third-party license, that license takes precedence for its component. Nothing here limits rights granted by those licenses, including any rights to obtain source, modify, reverse engineer, or redistribute their components. Nor does this agreement replace required attributions, notices, or source offers.

5. Beta status and support

The Plugin is beta software. It may contain defects, produce incorrect build results, interrupt development, or change behavior between releases. Keep backups and validate generated applications before deploying them. It is not intended for safety-critical uses where a malfunction could cause injury.

You may request help at info@giavaneers.com. Unless separately agreed or required by law, Giavaneers does not promise a response time, maintenance period, update, compatibility with future IDE versions, or defect correction. Discontinuing updates does not itself terminate your existing license.

6. Data and external services

This agreement is not a privacy policy and does not authorize undisclosed collection of source code, personal information, or telemetry. Any processing requiring a separate disclosure or permission must be addressed separately; acceptance of this agreement is not a substitute for that permission.

If you choose to send a support report, review it first and omit passwords, tokens, and information you are not authorized to share. When you direct the Plugin to interact with an external service, that service's terms and privacy practices also apply. This clause makes no claim that all bundled components have been audited or that no data processing occurs.

7. Warranty disclaimer

To the maximum extent the law permits, you assume all risk associated with installing, using, or being unable to use the Plugin, including the evaluation and use of its output. The Plugin is supplied "as is," with its defects, and without contractual guarantees of quality, suitability for a particular task, noninfringement, accuracy, security, or uninterrupted use. Giavaneers disclaims implied warranties to that same extent. You are responsible for evaluating whether it meets your needs and for checking its output. This section does not exclude a warranty or consumer protection that cannot lawfully be excluded.

8. Liability

To the maximum extent permitted by applicable law, Giavaneers has no liability for any claim, cost, loss, or damage arising out of or relating to this agreement or the installation, use, inability to use, or output of the Plugin. This exclusion includes direct, indirect, special, incidental, consequential, exemplary, and punitive damages; loss or corruption of data; lost profits or revenue; business interruption; and costs of repair, recovery, or replacement. It applies regardless of whether a claim is based on contract, tort (including negligence), strict liability, or another legal theory, even if Giavaneers was advised of the possibility of the loss or a limited remedy fails its essential purpose.

JetBrains assumes no liability under this agreement for the Plugin or Giavaneers' acts or omissions. This does not amend a separate agreement you have with JetBrains or restrict any liability that the law does not allow the parties to exclude.

These exclusions do not apply to liability that cannot lawfully be excluded, including non-excludable liability for fraud, willful injury, or violation of law. If applicable law requires liability notwithstanding this section, the exclusion applies only to the maximum extent that law permits. Mandatory consumer rights and remedies remain unaffected.

9. Termination

You may end this agreement by ceasing use and deleting your copies of the Plugin. Giavaneers may terminate it for a material breach if you fail to cure that breach within 30 days after written notice describing it. Upon termination, stop using and delete the Plugin and its backups. This does not require deletion of your independently created applications or affect rights you hold under separate third-party licenses.

Ownership provisions, warranty disclaimers, liability limitations, and any terms needed to resolve existing claims survive termination, subject to law.

10. General terms and contact

California law governs this agreement, excluding its conflict-of-law rules, but this choice does not deprive you of mandatory protections or access to courts available under applicable law. This agreement imposes no mandatory arbitration or class-action waiver.

An unenforceable provision will be limited or severed as necessary; the remaining provisions continue to apply. This agreement governs the Plugin license without superseding third-party licenses or mandatory rights. Changes require your agreement and do not apply retroactively by mere posting.
